FSD Pharma Spin-off Notes

April 16, 2023 Update

FSD Pharma (HUGE) announced on April 12, that they plan to spin-off it’s yet to be formed wholly owned subsidiary Pubco into an independent public company, with an expected completion date in July 2023.

FSD Pharma is a biopharmaceutical company that focuses on developing biotech solutions for the treatment of challenging neurodegenerative, inflammatory, and metabolic disorders, with operations in both the U.S. and Canada. Following the spin, the Remain Co FSD Pharma, will remain listed on the NASDAQ Stock Market and Canadian Securities Exchange. With Pubco filing and becoming a “reporting issuer” in the same jurisdictions in Canada that FSD Pharma.

We will get further details over the coming months as FSD Pharma will be hosting their annual shareholders meeting on June 29, 2023.

This is a rather mysterious announcement as the company has provided no details as to the business makeup of the spin-off.
